Terms of Service

These Terms govern your access to and use of HarePay's APIs, dashboard and payment services. By creating an account or processing a transaction, you agree to them on behalf of your business.

1. Who we are

HarePay Technologies Ltd operates payment-collection and settlement infrastructure across Africa, licensed by the Central Bank of Nigeria as a Payment Solution Service Provider (PSSP/2024/019) and partnering with licensed institutions in other markets. “HarePay”, “we” and “us” refer to that entity; “you” and “merchant” refer to the business using the service.

2. Your account

  • You must complete our KYB (Know-Your-Business) review before processing live transactions. We may request additional documentation at any time.
  • You are responsible for safeguarding your API keys and for all activity under your account. Rotate keys immediately if you suspect compromise.
  • You must provide accurate business, beneficial-owner and settlement information and keep it current.

3. Acceptable use

You may not use HarePay for activities that are illegal, that violate our Acceptable Use restrictions or card-scheme rules, or that appear on our prohibited-business list (including unlicensed financial services, fraud, and sanctioned activity). We may suspend processing where we reasonably suspect a breach.

4. Fees and settlement

Processing fees are the negotiated percentage set out in your pricing schedule and are deducted at settlement. Settlement timing and currency follow your configured preferences (for example T+1 to a bank account, or T+0 to a stablecoin wallet). We disclose any FX spread at the time of conversion.

5. Refunds, reversals and disputes

You are responsible for refunds and for chargebacks or disputes raised against your transactions. We may debit your balance, or hold a reserve, to cover disputed amounts, fees and fines in line with scheme and partner rules.

6. Liability

To the extent permitted by law, HarePay is not liable for indirect or consequential loss, and our aggregate liability is limited to the fees you paid us in the three months before the event giving rise to the claim. Nothing limits liability that cannot be excluded by law.

7. Termination

Either party may terminate on notice. We may suspend or close an account for breach, legal or regulatory requirement, or unacceptable risk. On termination we will settle remaining balances subject to any hold required to cover outstanding obligations.

8. Changes

We may update these Terms as our service or the law evolves. Material changes will be notified by email or in the dashboard before they take effect. Continued use after that constitutes acceptance.
